End-user software licence agreement

This end-user licence agreement (the “Agreement”) is made between UAB “Roxlogic IT Solutions”, legal entity code 302247835, registered office at Kareivių g. 11B, hereinafter the “Licensor”, and [Client name], legal entity code [TO BE COMPLETED], registered office at [TO BE COMPLETED], hereinafter the “User”.

1. Subject of the Agreement

1.1 The Licensor grants the User a non-exclusive, non-transferable, time-limited right to use the report sets built on the Microsoft Power BI platform from data held in the Rivilė and Finvalda accounting systems (the “Reports”). 1.2 The Reports are made available to the User through the Power BI Service (App) or through an integrated (embedded) solution.

2. Definitions

2.1 “Reports” means the Power BI report sets connected to data in the Rivilė and Finvalda systems. 2.2 “Use” means the right to view, filter and analyse the Reports without altering their structure, models or code. 2.3 “Embedded solution” means the integration of the Reports into the User’s internal systems, or into systems managed by the Licensor, through a web portal or another interface.

3. Grant of licence

3.1 The Licensor grants the User the right to use the Reports for internal business analysis only, in accordance with the plan paid for. 3.2 The licence is granted only for as long as the Agreement remains in force and the User pays for the services in line with the agreed payment schedule.

4. Restrictions on use

4.1 The User may not copy, modify, distribute, sell, sublicense or otherwise transfer the Reports or any part of them. 4.2 The User is prohibited from reverse engineering the Reports or attempting to extract their structure, models or data queries.

5. Maintenance and provision of the service

5.1 The Licensor may carry out technical updates or maintenance of the Reports without prior notice. 5.2 The User is responsible for the security of its own Power BI account access and for using it appropriately.

6. Intellectual property

6.1 All rights in the Reports, their models, structure and design remain with the Licensor. 6.2 This Agreement confers no ownership rights on the User in the Power BI reports or any of their components.

7. Limitation of liability

7.1 The Licensor is not liable for any indirect, incidental or consequential loss arising from use of the Reports.

8. Data protection

8.1 The User warrants that the data processed in the Reports complies with the GDPR and other applicable legislation. 8.2 The Licensor neither stores nor processes personal data unless otherwise agreed separately in writing.

9. Term and termination

9.1 This Agreement takes effect on the day the Reports are first accessed, or on the day the subscription is paid. 9.2 Either party may terminate the Agreement on 30 calendar days’ written notice. 9.3 If the terms of use are breached, the Licensor is entitled to suspend access to the Reports immediately.

10. Other terms

10.1 The User may not transfer this Agreement or its rights under it to any third party without the Licensor’s written consent. 10.2 Any dispute shall be resolved by negotiation, failing which it shall be settled under the law of the Republic of Lithuania before the Kaunas City Court.

11. Final provisions

11.1 The Licensor may update this Agreement on its own initiative, having notified the User in advance. 11.2 This Agreement is concluded electronically and is valid without further signatures. Date: 2025-07-29 Licensor: UAB “Roxlogic IT Solutions” User: _______________________________
